BYLAWS of the System and Resource Library Administrators Association of Wisconsin (SRLAAW)

Article I: Name

The name of this organization shall be the System and Resource Library Administrators Association of Wisconsin. (SRLAAW)

Article II: Objectives

  1. To improve the quality of library services to all the residents of Wisconsin.
  2. To facilitate communication and support among library systems and resource libraries.
  3. To provide a forum to address emerging needs impacting library systems and resource libraries.
  4. To formally communicate the concerns of SRLAAW to governmental agencies for their consideration and resolution.
  5. To advocate for the essential role and funding of public libraries at the local, state, and national levels.

Article III: Membership

  1. Membership is limited to administrators of library systems and administrators of resource libraries, or the designee of the administrator of either type of agency.
  2. Annual membership dues shall be determined by the membership and collected from all members. By a majority vote of the membership, SRLAAW may elect to waive dues for any given fiscal year.

Article IV: Officers

  1. Officers of the association consist of a Chair, Vice-Chair, and Treasurer.
  2. The Chair performs traditional duties, to include:
    a. Presiding at all meetings.
    b. Appointing a nominating committee, and other committees as needed.
  3. Assigning mentors to new members to provide guidance on the organization’s purpose and functions.
  4. Scheduling other duties of the membership in accordance with the bylaws.
  5. The Vice-Chair presides in the absence of the Chair.
  6. The Treasurer manages the SRLAAW fund and provides reports on that fund to the membership. This includes invoicing members for additional voluntary contributions as directed by SRLAAW action.
  7. The recording of meeting minutes is assigned to members and rotates alphabetically from system to system, and then from resource library to resource library in system order.

Article V: Voting

  1. Each SRLAAW member is entitled to one vote.
  2. Voting rights are limited to administrators of library systems and administrators of resource libraries, or the designee of either type of agency.
  3. Each member with voting rights may designate a proxy to vote.
  4. Those with voting rights will be determined at the beginning of each meeting.

Article VI: Elections

  1. Election of officers is held at the first meeting of the calendar year.
  2. Officers’ terms are two years, and officers, except for the treasurer, may not serve more than two consecutive terms in the same office.
  3. To ensure administrative efficiency, the treasurer shall be a representative from the system serving as the fiscal agent for the SRLAAW fund and shall serve in this capacity for the duration of that appointment.
  4. All elections are held by secret ballot if more than one person is nominated.

Article VII: Meetings

  1. More than one-half of the members shall constitute a quorum.
  2. Meetings are held as needed, or called by the Chair, or at the request of three members.
  3. There will be no fewer than four meetings a year.
  4. Non-member attendance is permitted by invitation only, subject to the approval of the Chair.
  5. Meetings may be recorded at the request of a member.
  6. Minutes of the meetings will be made available to members on the SRLAAW website as soon as practicable.
  7. Positions taken and recommendations made by this association shall be construed only as representing the opinions of the members.
  8. Meetings are conducted according to Robert’s Rules of Order, Revised.

Article VIII: Amendments

Amendments may be made to these bylaws at any called meeting, provided the proposed change has been provided to the membership at least two weeks prior to the meeting.
